Election of NAMI SMC Board of Directors

Pursuant to NAMI SMC Bylaws Article 4, Section 4.2, “[t]he authorized number of directors of the corporation shall not be less than seven (7) nor more than ten (10) until changed by amendment of the Articles of Incorporation or by a bylaw amending this Section 4.2 duly
adopted by the members.”

Pursuant to Bylaws Article 4, Section 4.4, each new Director shall be elected to serve or a 3-year term (from 2022-2025).

Pursuant to Bylaws Article 4, Section 4.5, the current members of the NAMI SMC Board were each appointed during 2021, by the then-sitting Board Members, to fill vacancies on the Board.

Pursuant to Bylaws Article 3, Section 3.6, the presence in person or by proxy of thirty percent (30%) of the Members entitled to vote shall constitute a quorum for the transaction of business.  For purposes of the Meeting on October 11, 2022 at this time 38 Members must be present in person or by proxy in order for business to be conducted, including to conduct of the Election of the Board of Directors.

Pursuant to Bylaws Article 3, Section 3.8, the Record Date set by the Board of Directors for this meeting for the purpose of determining the members entitled to notice of the meeting, to vote at the meeting, to cast written ballots with respect to any corporate action, to receive any report, or to exercise rights in respect of any other lawful action is September 30, 2022. Only members of record at the close of business, 5pm PDT on September 30, 2022 shall have the aforementioned rights at the meeting on October 11, 2022.

A Board of Directors Election Proxy Ballot* is included with this Notice, which includes all candidates recommended by the Nominating Committee for the 2022-2025 term.

Any candidates duly presented by the Membership by prior to the date of this Notice pursuant to Article 5, Section 5.2, which requires presentation of a petition signed by at least ten percent (10%) of the Membership, will also be included on the Proxy Ballot.

*If a Member chooses to submit a Proxy Ballot, rather than voting “by voice” at the Meeting via “chat” or any other Zoom feature employed by the Board, the Proxy Ballot must be submitted to leslie@namisanmateo.org by no later than 5pm on Tuesday, October 11, 2022.

Pursuant to Bylaws Article 5, Section 5.3, Board candidates may also be nominated from the floor during the meeting.

As stated above, here is the slate from the nominating committee:

1) Virginia Chang Kiraly, current co-President and treasurer of board, helping to manage operations during organizational transitions, fundraising, 2 elected offices in San Mateo County for more than ten years, experience multiple nonprofit boards

2) Kate Phillips, current co-President of board, chairing fundraising efforts for NAMI SMC, community outreach, lived and family experience, major donor, multiple experiences with non-profit boards and work, published author involved with NAMI writing as needed.

3) Chris Rasmussen, retired RC police officer focused on improving life for homeless and mentally ill, currently on board Behavioral Health Commission, has family experience.

4) Nicole Davis, runs a nonprofit that trains young adults with mental health challenges to enter work force, lived experience of mental health challenges when working in corporate world. Experienced in fundraising.

5) Bridget Mannix, has volunteered with NAMI, is ED of a local nonprofit and experienced in fundraising and community relationships. Family experience of mental illness.

6) Ed Lam, family member in treatment locally, connected in tech world and will network and fundraise, involved in autism activism

7) Jennifer Harrison, professional psychologist who has worked with NAMI SMC, practice based in children and adolescents but also counsels all ages, excellent knowledge of the needs and opportunities in the field

8) Frances Becker, clinical nurse and art therapist at SM County Hospital.   Lived experience and has strong community connections and interested in fundraising.
